These Terms and Conditions of Use (“Terms of Use”) govern your access to and use of the Shukria website located at www.shukria.ae and all associated websites, mobile applications, call-center interfaces, digital portals, APIs, dashboards, and other technology solutions operated by or on behalf of ShukriaMercury Payments Services L.L.C., acting under its brand name “Shukria”. (“Shukria”, “we”, “us”, or “our”) (collectively, the “Shukria Platform”).

BY ACCESSING OR USING THE SHUKRIA PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USING THE SHUKRIA PLATFORM.

If you are a Shukria customer or merchant, the definitive agreement executed between you and Shukria (including any service schedules, addenda, merchant agreements, onboarding documents, and compliance requirements) shall supersede and prevail over these Terms of Use in the event of any inconsistency.

Shukria reserves the right, in its sole and absolute discretion, to amend, modify, update, or replace these Terms of Use at any time without prior notice. Your continued use of the Shukria Platform following any such changes constitutes your acceptance of the revised Terms of Use.

1. Ownership and Intellectual Property

All content, materials, data, user interfaces, visual interfaces, graphics, photographs, logos, trademarks, sounds, music, artwork, compilations, software, source code, and object code (collectively, “Content”) displayed on or accessible through the Shukria Platform are owned by, controlled by, or licensed to Shukria or its licensors. The Content is protected under applicable UAE copyright, trademark, patent, and unfair-competition laws.

Except as expressly permitted by these Terms of Use, you shall not copy, reproduce, republish, upload, post, transmit, commercially exploit, publicly display, encode, translate, distribute, or create derivative works of any Content without Shukria’s prior written approval.

You may download or use certain information regarding Shukria products or services that Shukria intentionally makes available for download, provided that:
1. all proprietary or copyright notices remain intact;
2. the material is used solely for personal, non-commercial, informational purposes;
3. no modifications or alterations are made; and
4. no additional warranties or representations are attached to such information.

Shukria provides general information for informational purposes only. Nothing on the
Shukria Platform shall constitute legal, financial, regulatory, or professional advice.

2. Permitted and Prohibited
Use
You agree not to:
• use any robot, spider, crawler, scraper, or automated means to access or monitor any part of the Shukria Platform;
• attempt to gain unauthorized access to any portion of the Shukria Platform, accounts, servers, or networks;
• probe, scan, or test vulnerabilities of the Platform or any connected network;
• interfere with or disrupt the operation or integrity of the Shukria Platform;
• impersonate any individual or entity or misrepresent your affiliation;
• transmit malware, viruses, worms, or harmful code;
• use the Shukria Platform for any unlawful, fraudulent, abusive, or prohibited purpose;
• harvest or attempt to obtain information relating to other users or accounts.

Shukria reserves the right to immediately restrict, suspend, or prohibit any activity that, in its sole discretion, violates these Terms of Use or poses a security, operational, reputational, or regulatory risk.

3. Accounts, Credentials, and Security
Access to certain functionalities may require you to create an account, including a Shukria ID and password. By registering, you agree to:
• maintain the confidentiality of your login credentials;
• ensure all account information is accurate and up to date;
• immediately notify Shukria of any unauthorized use or security breach.

You remain fully responsible for all activities conducted through your account, whether authorized or unauthorized. Shukria shall not be liable for any loss or damage arising from your failure to comply with these obligations.

You may not use another person’s account or credentials without their express permission.

4. Privacy
Shukria’s Privacy Policy (as amended from time to time) applies to the collection, processing, storage, use, and disclosure of personal data through the Shukria Platform. By using the Platform, you agree to the processing of your data in accordance with Shukria’s Privacy Policy and applicable UAE data protection laws, including the Federal Decree-Law No. 45 of 2021 on Personal Data Protection (as
applicable to Shukria).

You acknowledge that the tra nsmission of data over the internet may not always be secure and may be susceptible to interception or unauthorized access.

5. Third-Party Websites and Links
The Shukria Platform may contain links to third-party websites, applications, or services (“Linked Sites”). Linked Sites are provided solely for convenience and do not constitute Shukria’s endorsement or recommendation.

Shukria exercises no control over Linked Sites and is not responsible for their content, accuracy, data practices, availability, or safety. Your access to Linked Sites is entirely at your own risk.

6. Disclaimers
THE SHUKRIA PLATFORM AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SHUKRIA MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:
• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY OR COMPLETENESS;
• UNINTERRUPTED OR ERROR-FREE OPERATION.

Shukria does not guarantee that files or data available for download will be free of viruses or other harmful components. You are solely responsible for implementing adequate security and backup measures.

7. Limitation of Liability
To the maximum extent permitted under applicable UAE law, Shukria, its affiliates, directors, employees, and service providers shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, whether arising in contract, negligence, strict liability, or otherwise, even if Shukria has been advised of the possibility of such damages.
Shukria shall not be responsible for any loss or damage resulting from:
• your use of, or inability to use, the Shukria Platform;
• interruptions, delays, errors, or technical issues in the Platform;
• actions or omissions of third parties; or
• unauthorized access to your information.

If Shukria is found liable for any claim arising out of or relating to your use of the Shukria Platform, Shukria’s total aggregate liability shall not exceed AED 100 (one hundred UAE Dirhams).

8. Indemnification
You agree to indemnify, defend, and hold harmless Shukria, its shareholders, directors, officers, employees, agents, affiliates, service providers, and successors from any claims, losses, damages, liabilities, penalties, regulatory actions, or expenses (including reasonable legal fees) arising from or related to:
• your use or misuse of the Shukria Platform;
• your breach of these Terms of Use;
• your violation of any applicable law or third-party rights.

9. Enforcement and Remedies
Shukria reserves the right to disclose any information it deems necessary to comply with applicable laws, regulatory requirements, law-enforcement requests, fraud-prevention mandates, or cybersecurity obligations.

Shukria may, without prior notice, suspend or terminate your access to the Shukria Platform if it determines that you have violated these Terms of Use or pose a risk to Shukria’s systems, users, operations, or reputation.
You acknowledge that unauthorized use of the Shukria Platform may cause irreparable harm for which monetary damages are inadequate, and Shukria shall be entitled to injunctive or equitable relief.

If Shukria initiates legal action for a breach, you agree to reimburse Shukria for all reasonable legal fees and costs incurred.

10. Governing Law and Dispute Resolution
These Terms of Use shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai. Any dispute arising out of or relating to the Shukria Platform or these Terms of Use shall be submitted to the exclusive jurisdiction of the Dubai courts.

11. Feedback and Submissions
Any feedback, suggestions, ideas, or materials you submit to Shukria (“Feedback”) shall be deemed non-confidential and may be used by Shukria without restriction, payment, or acknowledgment.

12. Additional Fintech/PSP-Specific Provisions

12.1 Compliance With UAE Financial Regulations
You acknowledge that Shukria operates as a regulated payment services provider and may be subject to requirements imposed by the Central Bank of the UAE (CBUAE), including AML/CFT, sanctions compliance, fraud prevention, and transaction monitoring obligations. Shukria may suspend or refuse services to comply with such obligations.

12.2 Transaction Monitoring and Suspicious Activity
Shukria reserves the right to monitor transactions and activity for fraud, money laundering, terrorist financing, sanctions violations, or prohibited conduct. Shukria may block, reject, delay, or reverse transactions where required by law or compliance obligations.

12.3 Merchant/Customer Verification
You agree that Shukria may perform KYC, enhanced due diligence, onboarding verification, or periodic reviews as required under UAE regulations.

12.4 Service Availability
Shukria does not guarantee uninterrupted access and may conduct maintenance, updates, or service modifications without notice
